Customer Account Agreement

The agreement for using your GTDI account: who can hold one, how review and invitations work, your authorized users and delivery locations, and how we keep your pricing confidential.

This Customer Account Agreement (“Agreement”) governs access to and use of the GTDI customer portal. It is between GTDI, a Delaware corporation, registered to do business in California (“GTDI”, “we”, “us”), and the organization whose account we approve (“Customer”, “you”).

2. Acceptance and authority

You accept this Agreement when your first Authorized User sets a password for your Account. That person confirms that they are authorized to accept it for you. Each Authorized User agrees to follow this Agreement when setting a password or using the Portal.

3. Eligibility

Accounts are available only to businesses, institutions, government agencies and other organizations that buy for their own operations or, with a valid resale certificate, for resale. We do not open accounts for personal, family or household purchases. Authorized Users must be at least 18 years old and employed by or acting for the Customer.

4. Account request and review

4.1 Organizations apply through the account request form at gtdi.net. There is no automatic registration.

4.2 We review each request within one business day of receiving it. We verify the organization, the person making the request and the delivery location, and we may call the number given or the organization’s listed number. If we need more information, we ask by email and complete the review when we receive it.

4.3 We approve or decline requests at our discretion and tell the applicant by email.

4.4 Approval gives your Authorized Users access to the catalog, your pricing and quote requests. It is not credit or payment terms, tax-exempt status, a price guarantee beyond a Quote’s valid-until date, a commitment to supply any product, quantity or delivery date, acceptance of an Order, or authority to bind GTDI.

5. Invitations and credentials

5.1 When we approve a request, we email the applicant a single-use invitation link to set a password. The link is valid for 7 days. If it expires, we send a new one on request, and the earlier link stops working.

5.2 Credentials are personal. Authorized Users must not share them, must choose a password that meets the Portal’s requirements, and must tell us at once if they suspect that someone else has used their credentials.

5.3 We will never ask for a password by email or phone. We change an Authorized User’s sign-in email only after confirming the change by phone.

6. One account per organization

6.1 Each organization has one Account. We add each of your facilities to it as a Delivery Location, and every Quote names the Delivery Location it ships to.

6.2 We add Authorized Users at your request after verifying them. All Authorized Users see the same prices and submitted Quotes. A draft quote request is visible only to the user who started it until it is submitted.

6.3 You are responsible for the actions of your Authorized Users, and an acceptance or other instruction from an Authorized User binds you. Tell us promptly when an Authorized User leaves or should lose access, and we will remove that access.

7. Quotes, acceptances and orders

7.1 The Portal has no checkout and takes no payments. Authorized Users can request quotes, view and print Quotes, and accept or decline Firm Quotes.

7.2 Prices shown in the Portal carry their status and valid-until date. A price binds us only in a Firm Quote that we confirm with an Order Confirmation.

7.3 Quote requests and acceptances are not orders. Accepting a Firm Quote asks us to place an Order on its terms; the Order exists only when we send an Order Confirmation. An indicative Quote is an estimate and cannot be accepted.

7.4 Every purchase is governed by the Terms of Sale.

8. Confidentiality

8.1 Confidential Pricing is confidential to your organization. You may use it only for your purchasing decisions and may share it only with your employees, auditors and advisers who need it and are bound to keep it confidential. A public agency may disclose it as public-records law requires. This obligation continues after the Account closes.

8.2 We keep your organization’s pricing, Quotes and orders confidential and use them only to serve your Account, except as our Privacy Policy describes or the law requires.

Keep your Account information accurate, including Delivery Locations, receiving instructions and accounts-payable contacts. Resale and exemption certificates and credit applications are handled through your representative, outside the Portal. On request, we provide our Form W-9 and a certificate of insurance for your vendor setup.

11. Suspension and closure

11.1 We may suspend an Authorized User or place your Account on hold if information cannot be verified, credentials may be compromised, this Agreement is breached, invoices are past due or a credit hold applies, or we need to protect the Portal or other customers. Where we can, we tell you first. Suspension ends active sessions immediately.

11.2 Either party may close the Account at any time by notice. On closure, access ends and open quote requests and unaccepted Quotes are withdrawn. Confirmed Orders, payment obligations and Sections 8 and 13 survive closure.

12. Notices and communications

You agree to receive notices and service messages about your Account, Quotes and Orders by email at the addresses on your Account. Send notices to us at sales@gtdi.net. Our Privacy Policy explains how we handle personal information.

13. Portal availability and liability

We provide the Portal as available. We may change its features, and it may be unavailable during maintenance. To the extent permitted by law, we are not liable for indirect or consequential damages arising from use of the Portal. Purchases are subject to the limitations in the Terms of Sale.

14. Changes

We may update this Agreement by posting a new version with a new effective date. We email Authorized Users before a material change takes effect, and using the Portal after that date means you accept the change.

15. General

California law governs this Agreement, and the state and federal courts in Los Angeles County, California, have exclusive jurisdiction over disputes about it. This Agreement, the Terms of Sale and our Website Terms of Use are the entire agreement about the Portal. You may not assign this Agreement without our written consent.
